Terms of Service

These Terms of Service (“Terms”) govern your use of Therapy Ally’s Clinician Console and companion application (collectively, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility and Account Registration

The Service is intended for licensed mental health professionals and authorized clinical staff. By registering, you confirm that you hold valid licensure or work under appropriate supervision. You are responsible for maintaining the security of your account credentials and for all activity under your account.

2. Scope of Service

Therapy Ally provides a between-session support tool for use by licensed clinicians to extend care beyond scheduled appointments. The Service is not a substitute for professional therapy, clinical assessment, diagnosis, or crisis intervention. The AI companion is designed solely for conversational support within defined therapeutic frameworks.

3. Clinical Responsibility

You remain solely responsible for all clinical decisions, treatment plans, and the care of your clients. Therapy Ally is a supplemental tool. Nothing generated by the Service constitutes clinical advice, diagnosis, or a treatment recommendation. You should exercise independent clinical judgment in interpreting all summaries and insights provided.

4. HIPAA and Data Obligations

By using the Service, you agree to execute a Business Associate Agreement (BAA) with Therapy Ally where required. You are responsible for ensuring your use of the Service complies with all applicable laws, including HIPAA. You may not use the Service in a manner that violates patient privacy rights or applicable regulations.

5. Prohibited Uses

You may not use the Service to provide crisis intervention services, as a replacement for emergency mental health care, to collect or process data in violation of applicable law, to reverse-engineer or attempt to extract the underlying AI models, or to share access credentials with unauthorized individuals.

6. Intellectual Property

All content, software, and technology comprising the Service is the property of Therapy Ally or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended clinical purpose. You may not reproduce, distribute, or create derivative works without our written consent.

7. Termination

Either party may terminate the agreement at any time. Upon termination, your access to the Service will cease. You may request an export of your account data within 30 days of termination. Client data will be handled in accordance with our Privacy Policy and applicable law.

8. Limitation of Liability

To the maximum extent permitted by law, Therapy Ally shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.
